STANDARD TERMS AND CONDITIONS OF SALE

General Applicability: 

The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. Any deviation from these terms must be expressly agreed upon in writing by Skywave Technologies Limited in advance.

  1. Payment Terms
    a) Invoices issued by Skywave Technologies Limited are payable within 21 working days, unless otherwise specified on the invoice or order confirmation. b) In the event of non-payment by the due date, Skywave Technologies Limited reserves the right to apply a fixed interest charge of 10% of the outstanding amount. Additionally, Skywave Technologies Limited may suspend the provision of services without prior notice in the event of late payment. c) If payment remains outstanding more than sixty (60) days after the due date, Skywave Technologies Limited reserves the right to engage a debt recovery agency, with all associated legal and administrative costs borne by the client.
  2. Taxation and Withholding
    a) Clients are responsible for any applicable taxes, duties, or levies in accordance with their local laws. b) Where applicable, withholding tax or similar deductions must be remitted by the client directly to the respective tax authority. Skywave Technologies Limited shall not bear any costs associated with the taxation laws of the client's country.
  3. Service Delivery and Performance
    a) Skywave Technologies Limited commits to delivering high-quality services and products within agreed-upon timeframes as outlined in the Service Level Agreement (SLA). However, service obligations are on a best-effort basis and do not constitute an obligation to achieve specific results. b) Skywave Technologies Limited is not liable for indirect, incidental, or consequential damages arising from its products or services. The company shall not be involved in any disputes or claims between the client and their end consumers.
  4. Claims and Dispute Resolution
    a) Any claims related to product defects, service issues, or discrepancies must be submitted to Skywave Technologies Limited in writing within 8 days of product delivery or service completion. Claims must be sent via recorded delivery to Skywave Technologies Limited's registered office for consideration. b) Skywave Technologies Limited will review complaints in accordance with its After-Sales Support Policy, which details the procedures for dispute resolution, product warranties, and service rectifications.
  5. Legal Governance
    a) All contractual agreements and transactions with Skywave Technologies Limited are governed exclusively by the laws of Zambia. b) Any legal disputes shall be subject to the jurisdiction of Zambian courts, unless otherwise agreed upon in writing.
  6. After-Sales Support and Warranty
    a) Skywave Technologies Limited provides post-sales support as per the terms defined in its After-Sales Support Policy. b) Clients are encouraged to review the After-Sales Support Policy to understand their rights and obligations regarding product warranties, maintenance agreements, and service guarantees.

By engaging in a transaction with Skywave Technologies Limited, the client acknowledges and agrees to these terms and conditions in their entirety.
